If you're using Leny on behalf of an organization (a clinic, hospital, or employer), you represent that you have authority to bind that organization, and "you" includes that organization.

1. Acceptance of these Terms

By creating an account, starting a guest session, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you don't agree, please don't use Leny.

We may post additional rules or product-specific terms inside particular features (for example, beta features). Those become part of these Terms when you use the relevant feature.

2. Who can use Leny

You may use Leny only if:

Leny is intended for users in the United States. If you access it from elsewhere, you do so at your own risk and are responsible for compliance with local laws.

3. What Leny is — and isn't (Important medical disclaimer)

Leny is an AI-powered health information and productivity tool. Leny is not a doctor, not a clinic, and not a medical device. Leny does not practice medicine, nursing, pharmacy, or any other regulated healthcare profession.

Anything Leny tells you — explanations of conditions, lab results, side effects, drug interactions, summaries of literature, or suggested next steps — is for informational and educational purposes only. It is not medical advice, diagnosis, or treatment, and it is not a substitute for consultation with a qualified healthcare professional who knows you and your full medical context.

If you think you may be having a medical emergency, call 911 (or your local emergency number) or go to the nearest emergency room immediately. Do not rely on Leny in an emergency. Do not delay seeking care, change a medication, or stop a treatment based on what Leny tells you. Always confirm with a licensed clinician.

The "Talk to a Doctor" feature, where offered, may connect you with a third-party telehealth provider. Any clinical relationship is between you and that provider — not with Leny.

4. Your account

To access most features, you'll create an account. You agree to:

You're responsible for activity under your account. We may refuse, suspend, or reclaim a username at our discretion.

5. Guest sessions

You may try Leny without an account through a guest session, which currently includes up to five (5) free turns with the AI. Guest sessions are provided "as is," may change or end at any time, and are subject to all of these Terms — including the medical disclaimer in Section 3.

When you sign up, we may associate your guest activity with your new account so you can continue your conversation. If you choose not to register, your guest session content may be deleted in line with our Privacy Policy.

7. Content you provide

"User Content" means anything you submit to Leny — questions, documents, images, audio, lab results, notes, or feedback.

You keep ownership of your User Content. You grant Leny a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works of your User Content solely to operate, secure, support, and improve the Service for you, and as otherwise described in our Privacy Policy.

You represent that you have all rights necessary to submit your User Content and to grant this license, and that doing so won't violate any law or any third party's rights (including privacy, publicity, IP, or HIPAA-related rights).

We don't want your secrets. Please don't submit information you wouldn't want processed by an AI system or its third-party subprocessors. If you're a patient, only submit your own health information, or information you're authorized to share.

8. AI-generated content

Leny uses large language models and other AI to generate responses, summaries, and citations ("AI Output"). You understand that:

You are responsible for how you use AI Output. Do not act on it — clinically or otherwise — without independent verification and, where appropriate, the judgment of a licensed professional.

As between you and us, you may use AI Output for your own lawful purposes, subject to these Terms. We don't claim ownership of AI Output generated for you, but because AI Output may be similar across users, we don't promise it's exclusive to you.

9. For healthcare providers

If you use Leny as a clinician, advanced practice provider, pharmacist, or other healthcare professional ("Provider"), the following also applies:

If your institution has a separate written agreement with Leny, that agreement controls to the extent it conflicts with these Terms for your institutional use.

10. Voice features

Leny offers voice input. When you use it, your audio is transmitted to and processed by a third-party transcription provider (currently Deepgram) to convert speech to text. By using voice features you consent to this processing.

11. Subscriptions, billing, refunds

Some features of Leny may be free; others may require a paid subscription or one-time purchase. Pricing, billing cycle, and included usage will be shown at the point of purchase.

12. Intellectual property

The Service — including the software, models, prompts, design, content, trademarks, and the "Leny" name and logo — is owned by Leny or its licensors and is protected by U.S. and international IP laws.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended purpose. All rights not expressly granted are reserved.

You may submit feedback, ideas, or suggestions ("Feedback"). You agree we may use Feedback freely, without compensation or attribution, to improve the Service.

13. Third-party services

Leny relies on third-party providers — for example, AI model providers, cloud hosting, payment processing, telehealth, and Deepgram for voice transcription. Their services are governed by their own terms and privacy policies, and we are not responsible for their acts or omissions.

The Service may also include links to third-party websites or content. We don't endorse them and aren't responsible for them.

14. Termination

You may stop using Leny and delete your account at any time through your account settings or by emailing info@leny.ai.

We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us or others, or if we discontinue the Service or a feature.

Upon termination: your license to use the Service ends; we may delete your User Content in line with our Privacy Policy and applicable law; and provisions that by their nature should survive (Sections 3, 7–9, 12, and 15–17, among others) will survive.

15. Disclaimers and limitation of liability

Disclaimer. THE SERVICE AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THAT AI OUTPUT IS CORRECT, COMPLETE, CURRENT, OR APPROPRIATE FOR ANY PARTICULAR PERSON, CONDITION, OR PURPOSE.

Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, [LENY, INC.] AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, GOODWILL, OR HEALTH OUTCOMES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY AI OUTPUT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LENY IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions don't allow certain disclaimers or limits, so some of the above may not apply to you. In that case, our liability is limited to the smallest extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Leny and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and reasonable expenses (including attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or any law; (d) your violation of any third party's rights; or (e) for Providers, any clinical decision, treatment, or communication informed by your use of Leny.

We may assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

17. Governing law and disputes (arbitration / class-action waiver)

Governing law. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution first. Before filing any claim, you agree to contact us at info@leny.ai and try to resolve the dispute informally for at least 60 days.

Binding arbitration. Any dispute that isn't resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or Commercial Rules, where applicable). Arbitration will take place in San Diego, CA or another mutually agreed location, or by video conference. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. YOU AND LENY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative proceeding.

Exceptions. Either party may bring (i) an individual action in small-claims court, or (ii) an action in court for injunctive or equitable relief to protect intellectual property rights.

Opt-out. You may opt out of this arbitration agreement by emailing info@leny.ai within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and your name and account email.

If the class-action waiver is found unenforceable, the rest of this Section 17 will be void; otherwise, the remainder of this Section will remain in effect.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you (for example, by email or in-product notice) and update the "Last updated" date. Your continued use of Leny after the changes take effect means you accept the updated Terms. If you don't agree, please stop using the Service and close your account.
